Terms of Service

1. Acceptance of Terms

By accessing or using the Aspire platform ("Service"), operated by Aspire Works ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Aspire Works.

By creating an account, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Aspire is a software-as-a-service (SaaS) construction management platform designed to help contractors, builders, and construction professionals manage their business operations. The Service includes tools for project management, cost estimating, customer relationship management (CRM), invoicing, and AI-powered features to streamline workflows.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may also introduce new features, impose limits on certain features, or restrict access to parts of the Service at our sole discretion.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials, including your email address and password. You agree to notify us immediately of any unauthorized access to or use of your account. Aspire Works is not liable for any loss or damage arising from your failure to protect your login information.

Each account is intended for use by a single individual. Sharing account credentials with others is prohibited. If your organization requires multiple users, each person must create their own account. We reserve the right to suspend or terminate accounts that violate this policy.

4. Subscription & Billing

Aspire offers a free Starter tier with limited features, as well as paid Pro and Business subscription tiers with expanded capabilities. Paid subscriptions are billed on a recurring basis (monthly or annually) depending on the plan you select. All fees are stated in U.S. dollars and are non-refundable except as required by applicable law.

Paid subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to your paid tier features until the end of the current billing period. We reserve the right to change pricing with 30 days' notice.

5. User Content & Data

You retain full ownership of all data, content, and materials you upload, create, or store through the Service ("User Content"). By using the Service, you grant Aspire Works a limited, non-exclusive license to host, store, and process your User Content solely for the purpose of providing and improving the Service.

Your data is stored securely on Firebase and Google Cloud infrastructure. We implement industry-standard security measures to protect your information. However, no method of electronic storage is 100% secure, and we cannot guarantee absolute security. You are responsible for maintaining your own backups of critical business data.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not use the Service to engage in any illegal activity, transmit harmful or malicious content, or violate the rights of others. You are solely responsible for ensuring that your use of the Service complies with all applicable laws and regulations.

You may not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service. Automated scraping, data mining, or harvesting of any content from the platform is strictly prohibited. You may not use the Service to build a competing product or service, or resell access to the Service without our written consent.

7. Intellectual Property

The Service, including its original content, features, functionality, design, and underlying technology, is and remains the exclusive property of Aspire Works and its licensors. The Aspire name, logo, and all related trademarks are the property of Aspire Works. Nothing in these Terms grants you any right to use our trademarks or branding without prior written permission.

As stated in Section 5, you retain ownership of all User Content you create or upload to the Service. We do not claim any intellectual property rights over your projects, estimates, invoices, client data, or other business information stored on the platform.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Aspire Works and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Service.

In no event shall our total aggregate liability exceed the amount you have paid to Aspire Works in the twelve (12) months preceding the event giving rise to the claim. The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Termination

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without prior notice, if we determine that you have violated these Terms, engaged in fraudulent or abusive behavior, or if continued access poses a risk to the security or integrity of the Service.

You may delete your account at any time through your account settings. Upon account deletion, we will remove your personal data in accordance with our Privacy Policy. Some information may be retained as required by law or for legitimate business purposes, such as fraud prevention and record-keeping.

10. Changes to Terms

We reserve the right to update or modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page and, for material changes, may notify you via email or through a notice within the Service. Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms.

We encourage you to review these Terms periodically. If you do not agree with any updated Terms, you must stop using the Service and delete your account.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
